Your use of the RxAssist web site is limited in important ways that are described in this document, our Terms and Conditions of Use (“Agreement”).

Please read this Agreement carefully. Throughout this Agreement we mention “we,” “us,” “our,” etc. when we mean RxAssist or its affiliates. We refer to you, the user of the RxAssist web site, as “you,” “your,” etc. By accessing and using the RxAssist web site, you signify your acceptance of the terms of this Agreement without modification. If you do not accept them, we do not grant you permission to use the RxAssist web site.

RxAssist may modify this Agreement at any time. This Agreement as it may be modified will be effective immediately upon its posting, so please review this Agreement each time you access the web site. Your continued use of the RxAssist web site constitutes your acceptance of any modification to this Agreement in effect at the time of your access. No modification or attempted modification of this Agreement by you shall be binding on us.

Your Permission to Use the RxAssist Web Site

Subject to the terms and conditions of this Agreement, we grant you permission only to manually search and view information available through the RxAssist web site, and to download and make limited printouts of the information you view for your personal use, for the use of your family member, or for the use of your patients or clients to whom you provide substantial additional health care or advocacy services.

Your permission is limited in a number of ways. You may not use any information or content available on the RxAssist web site for any commercial purpose (except as otherwise permitted by this Agreement and if you provide health care or advocacy services to your patients or clients). You may not redistribute, retransmit, publish, or republish any material on or downloaded from the RxAssist web site without written permission from us and our licensors. Your permission to use and access the web site will terminate immediately, without any further action by us, if you breach any terms or conditions of this Agreement.

Without limiting other restrictions set forth in this Agreement, you agree not to:

1. Link to or otherwise provide Internet connection to any area of the RxAssist web site except to the home page (www.RxAssist.org);
2. Frame any part of the RxAssist web site without the written permission of RxAssist;
3. Delete or change any material posted or provided on the RxAssist web site;
4. Change or delete any proprietary notices from materials or files downloaded or printed out from the RxAssist web site, or distribute (if otherwise permitted herein) any materials or files downloaded or printed out from the RxAssist web site without attribution to RxAssist;
5. Use any materials or files from the RxAssist web site (a) to create, to support, or to provide any other computer, web site or software product or service; or (b) to create, to support, or to provide substantially similar materials or files;
6. Disrupt the availability of the RxAssist web site to others; or
7. Use the RxAssist web site in a manner contrary to any applicable law or regulation.

Our Privacy Policy describes how we use information you provide when you visit the RxAssist web site and is hereby incorporated into this Agreement. Please review it to understand our practices.

All content included on the RxAssist web site, such as text, graphics, logos, icons, images, files, data compilations and software, is the property of RxAssist or its licensors and is protected by United States and international copyright laws. The compilation of all content on the web site is the exclusive property of RxAssist and is protected by U.S. and international copyright laws. All rights reserved. You may not reproduce, prepare derivative works from, distribute, sell, publish, perform, broadcast, or circulate the content on the web site without the express written consent of RxAssist. “RxAssist,” and the other proprietary logos and marks of RxAssist or its affiliates, licensors and partners are trademarks or service marks of RxAssist or its affiliates, licensors or partners. All rights reserved. No right, title, or interest in those marks is granted to you in this Agreement.

Certain materials posted on the RxAssist web site contain trademarks and service marks owned by third parties. Such third party marks are used solely to indicate the sponsor of a particular program or to refer to such third party, are the property of such third party, and are not being used by us in commerce or otherwise; nor do we assert any claim or interest in such third party marks. The posting of any third party mark on the RxAssist web site does not indicate such third party's endorsement, support, or sponsorship of RxAssist, its affiliates, or the RxAssist web site; nor does it indicate any affiliation between us and such third party.

The Web Site Is Provided AS-IS

Although we attempt to keep the materials on the RxAssist web site up-to-date, much of the materials and information appearing in the web site have been developed and made available by third parties not under our control. Therefore, we can make no guarantee that the materials and information are reliable, accurate, up-to-date, suitable, or complete; that the drug or pharmaceutical product will be provided; or that such drug or pharmaceutical product will be made available in a timely manner.

You Are Solely Responsible for Your Use of the RxAssist Web Site

You agree to be solely responsible for your use of the RxAssist web site and agree to indemnify, defend, and hold harmless RxAssist and its affiliates, partners, employees, agents, information providers, and licensors from and against all losses and expenses (including reasonable attorneys’ fees) due to claims arising from or relating to use of the RxAssist web site or any breach of this Agreement.

RXASSIST, ITS AFFILIATES, PARTNERS, EMPLOYEES, AGENTS, INFORMATION PROVIDERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DAMAGES YOU MAY SUFFER OR CAUSE ARISING OUT OF OR RELATED TO YOUR USE OF THE RXASSIST WEB SITE EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
RXASSIST, ITS AFFILIATES, PARTNERS, EMPLOYEES, AGENTS, INFORMATION PROVIDERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEB SITE. IN NO EVENT SHALL THE TOTAL LIABILITY OF RXASSIST AND ITS AFFILIATES, PARTNERS, EMPLOYEES, AGENTS, INFORMATION PROVIDERS, AND LICENSORS TO YOU EXCEED $10.00.

We Are Not Responsible for Any Links to or from Other Sites

The RxAssist web site may include links to web sites or web pages operated by third parties, or other web sites or web pages may link to the RxAssist web site or to specific pages within the web site (if otherwise permitted herein). We do not monitor, filter, edit, or censor the materials or information appearing on these other web sites or web pages. We assume no liability or responsibility for these other web sites or web pages or their content. Any link to or from a third-party web site or web page is not an endorsement of that web site or web page by us and does not imply any association between us and such third party.

This Agreement Is Governed by Rhode Island Law

You agree that this Agreement and any dispute arising out of or related to this Agreement or your use of the RxAssist web site shall be governed by the laws of the state of Rhode Island, United States of America, without regard to any choice-of-law provision that could otherwise cause the laws of any other jurisdiction to be applied.

Jurisdiction and Venue in Providence, Rhode Island; Action within One Year

You agree that the state or federal courts located in Providence, Rhode Island, United States of America, shall have exclusive jurisdiction and venue over any action arising out of or relating to this Agreement or your use of the RxAssist web site. You waive any claim that a court located in Rhode Island lacks personal jurisdiction over you, is an improper venue, or is an inconvenient forum. You must bring any action you have against us within one year after the cause of action arises.

Miscellaneous Provisions

Headings are provided for convenience only and will not be used to construe or interpret the substance of this Agreement. The use of “include,” “includes,” “including” and “or” shall not be limiting or exclusive. You may not assign, sublicense, rent, lease, sell, or otherwise transfer in any way, on a temporary or permanent basis, any right or obligation under this Agreement. This Agreement may not be supplemented, altered or modified except by a writing signed by us (or by an update to this Agreement, including our Privacy Policy, posted by us on the RxAssist web site). Our delay or failure to enforce any of the terms of this Agreement shall not waive any of our rights hereunder. This Agreement contains the complete, final and exclusive understanding of the parties and supersedes all prior communications and agreements, whether oral or written, between the parties regarding the RxAssist web site. The invalidity or unenforceability of any term of this Agreement will not affect the validity or enforceability of the remaining terms. If any term of this Agreement would under applicable law be invalid or unenforceable in any respect, the parties hereto intend that such provision will be construed by modifying or limiting it so as to be valid and enforceable to the maximum extent compatible with, and possible under, applicable law. Those provisions of this Agreement that normally would survive the termination of the Agreement shall survive any termination of the Agreement. Notices sent to you by us in connection with this Agreement may be delivered to you by electronic mail, by a general notice on the RxAssist web site, by written communication delivered by first class U. S. mail, or by any other means which provides you actual notice. You may give notice to us at any time by letter delivered by first class postage prepaid U.
